Section 1: The name of this Association shall be “Urban Residents Association.” Section 2: This Association recognizes and affirms the diversity of our neighborhood as the foundation of a healthy, vital, and dynamic community. The purposes of this Association shall be: 1) To promote and foster participation in the neighborhood by providing a forum for discussion of neighborhood concerns; 2) To enhance and strengthen the community through neighborhood social activities and other programs which serve the needs and interests of current and potential Association members. 3) To encourage and facilitate informed citizen participation in issues affecting our neighborhood, including commercial, retail, residential development; quality of life; land use; housing standards; zoning issues; traffic patterns; street modifications; and any other issues related to our downtown neighborhood. 4) To be a voice for our common neighborhood interests by acting as a liaison with governmental bodies and with institutions, schools, and businesses in and around our neighborhood, and by working with other neighborhood associations on common concerns. 5) To advocate for maintenance and improvement of institutions and facilities serving our neighborhood, including parks, schools, and public safety services. 6) To provide for the community welfare generally and to conduct other lawful business not inconsistent with these By-Laws. Section 3: This association is and shall remain a non-profit organization and no part of the net earnings thereof shall inure to any individual member. . Article II: Membership
Section 1: The membership of this Association shall consist of any person 18 years of age or older who owns, or leases for a minimum 6 month period, or rents on a month to month basis and has occupied for a minimum of 3 months, a residential property in this neighborhood and has paid the annual dues. Section 2: Dues of the organization shall be established annually by the Board of Directors. Annual dues are as follows: Single Member - $20 Household - $25 Associate Member - $30 Section 3: Dues are paid annually with the membership expiring for the individual, household or associate 1 calendar year from the date paid. There is no proration of membership dues.
Section 4: The Urban Residents Association neighborhood is defined by the following boundaries: • Bounded on the north by Interstate 65. • Bounded on the south Interstate 40. • Bounded on the east by Interstate 24 • Bounded on the west by Interstate 40 / Interstate 65. Section 5: Associate membership may be granted to persons, businesses, or other entities sharing similar goals for the neighborhood as defined within these by-laws. All requests for Associate memberships must be submitted to and approved by the Board of Directors. Associate members may attend any annual, regular, or special meetings but are not eligible to vote under any circumstances. Section 6: Questions concerning eligibility and/or appeals for membership shall be presented to and decided by the Board of Directors.
Article III: Government
Section 1: The Urban Residents Association shall be governed by a Board of Directors, which may take action in the name of the Association. Section 2: The Board of Directors shall consist of a President, Vice-President, Secretary, Treasurer, and a Director-at large elected by the membership at an annual membership meeting. Section 3: A simple majority of the Board of Directors shall constitute a quorum for doing business. Each member of the Board shall be entitled to one vote. Section 4: To be eligible for elected office, a person must be a current member of the Association in compliance with all membership requirements for the entire term of office. Section 5. Board of Directors members shall serve without compensation for a term of one (1) year. No Board member may serve for more than three (3) consecutive terms. Section 6: The powers and duties of the Board of Directors shall include: a) The establishment and execution of policy for the Association; b) The appointment of all standing and other committees or chairpersons thereof. This power may be delegated to the President. Committees shall derive their direction from the Board of Directors; c) The appointment or employment of all persons or organizations to serve the Association; d) The filling of vacancies on the Board of Directors until the next Annual Meeting; e) The annual appointment of a five (5)-member nominating committee, no more than two (2) of whom may be members of the current Board of Directors; f) Interpretation of the By-Laws; g) The approval of expenditures of Association funds; and h) The dissolution of all committees. This power may be delegated to the President. Section 7: The President shall preside at all meetings of the Association and the Board of Directors and shall perform such duties as directed by the Board of Directors. Section 8: The Vice-President shall perform all duties as may be assigned by the President or Board of Directors and shall be the presiding officer in the absence of the President.
Section 9: The Secretary shall be the official custodian of all records of the Association and shall keep the minutes of the Association and Board of Directors. The Secretary may delegate authority for correspondence in the name of the Association and for required notices, and shall keep records of all such correspondence and notices. Section 10: The Treasurer shall keep and be responsible for all funds of the Association. All funds shall be deposited in an account in the name of Urban Residents Association, and shall be withdrawn only approved members of the Board of Directors. All monies received shall be immediately delivered to the Treasurer, for which she or he shall give a receipt if requested, and all bills shall be paid by the Treasurer. The Treasurer shall provide regular reports of all transactions and prepare financial statements as directed by the Board of Directors. Section 11: The Director-at-large shall perform all duties as may be assigned by the President or Board of Directors. Section 12: A director who misses three (3) regularly scheduled consecutive board meetings forfeits the office. That officer or director may request exception and, at the discretion of the Board by a simple majority vote, may be allowed to retain the position. Section 12: In cases where a director is accused of conduct hurtful to the Association, grossly inconsistent with the By-Laws, or inconsistent with the purposes for which the Association was organized, the director may be removed from office by the affirmative vote of four (4) members of the Board of Directors. The accused director shall not have a vote in such an instance.
Any right to indemnification arising hereunder will inure to the benefit of the heirs, executors or administrators of any such Officer or Director, employee or other agent and will be in addition to all other rights to which such Officer, Director, employee or other agent may be entitled as a matter of law.
The Association may purchase and maintain insurance on behalf of any such Director, Officer, employee or other agent above mentioned against any liability incurred by him/her in any such capacity or arising out of his/her status as such, whether or not the Association would have the power to indemnify him/her against such liability.
